1. Acceptance of Terms

By clicking “I Agree” during registration, or by accessing or using the Bhadraa Billing Tool (“the Service”), you (“the Customer”) agree to be bound by these Terms and Conditions (“Terms”) on behalf of yourself and your business. If you do not agree, do not proceed with registration or use of the Service.

These Terms constitute a binding agreement between the Customer and Bhadraa Global Enterprises (“Bhadraa”, “we”, “us”, or “our”).

2. Service Description

The Bhadraa Billing Tool is a cloud-based, multi-tenant billing and customer management platform designed for businesses. It enables you to manage invoices, customers, products, rewards, orders, and related operations through a web-based interface. The Service is provided on a subscription basis.

3. Account Registration & Responsibilities

• You must provide accurate, complete, and up-to-date information during registration.
• You are responsible for maintaining the confidentiality of your account credentials. Do not share your password with anyone outside your authorised staff.
• You are fully responsible for all activities that occur under your account, whether performed by you or your staff.
• You must notify us immediately at info@bhadraa.in if you suspect any unauthorised access to your account.
• One account corresponds to one registered business. You may not use a single account to manage multiple unrelated businesses.

4. Subscription Plans & Billing

• The Service is offered under subscription plans (Basic, Pro, and Pro Plus) on monthly or yearly billing cycles. Plan features and pricing are as published on our website at the time of registration.
• Subscription fees are charged in advance — at the start of each billing cycle.
• Payments are processed securely through our payment processor. Card or netbanking details are handled directly by the payment processor and are never stored by us.
• Yearly subscriptions are offered at a discounted rate. By choosing a yearly plan, you acknowledge that the monthly equivalent price is higher than the yearly rate divided by 12.
• We reserve the right to revise subscription pricing. Existing customers will be notified at least 30 days before any price change takes effect. Continued use after the effective date constitutes acceptance of the revised pricing.

5. Refund & Cancellation Policy

Monthly Subscriptions

Payments made for monthly subscriptions are non-refundable. Your access to the Service will continue until the end of the current billing period. Cancellation stops the next billing cycle; no partial refund is issued for unused days in the current month.

Yearly Subscriptions

If you cancel a yearly subscription before the end of the subscription year, a refund may be applicable on a pro-rata basis, calculated as follows:

Since the monthly plan price is higher than the yearly rate divided by 12, the months-used deduction is calculated at the standalone monthly plan price — not the yearly-divided-by-12 rate. If the resulting refund amount is zero or negative, no refund is due.

To request a cancellation and refund, contact us at info@bhadraa.in. Approved refunds will be processed within 7–10 business days to the original payment method.

6. Acceptable Use

You agree not to use the Service to:

• Process, record, or facilitate any illegal, fraudulent, or deceptive transactions
• Violate any applicable Indian or international law or regulation
• Upload or transmit any malicious code, viruses, or harmful content
• Attempt to reverse-engineer, copy, or reproduce any part of the platform
• Impersonate another business, person, or entity
• Share access credentials with parties outside your authorised business staff
• Use the platform for any purpose other than your own legitimate business operations

We reserve the right to suspend or terminate accounts found to be in violation of this section without prior notice.

7. Data, Privacy & Marketing

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

• Your business data (customers, invoices, transactions) belongs to you. We do not sell it to third parties.
• We may use aggregated, anonymised usage data for improving and developing the Service (analytical use).
• We may use your registered contact details to send you communications about new features, updates, or offerings from Bhadraa Global Enterprises (marketing use). You may opt out at any time by writing to info@bhadraa.in.
• Upon account termination, your personal data will be retained for 90 days and then permanently deleted, except where retention is required by law.

8. Intellectual Property

The Bhadraa Billing Tool platform — including its design, software, branding, and all underlying technology — is the exclusive intellectual property of Bhadraa Global Enterprises. Nothing in these Terms grants you any ownership rights over the platform.

Your business data, logo, and content uploaded by you remain your property at all times.

9. Service Availability

• We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free access.
• We may perform scheduled maintenance, which may result in temporary downtime. We will make reasonable efforts to schedule maintenance during low-usage hours.
• We are not liable for any downtime caused by third-party infrastructure providers, internet disruptions, or events beyond our reasonable control.

10. Termination

By You

You may cancel your subscription at any time by contacting us at info@bhadraa.in. Refunds will be processed as described in Section 5.

By Us

We reserve the right to suspend or terminate your account immediately and without refund if you breach these Terms, engage in fraudulent activity, or violate applicable law. In other cases, we will provide at least 14 days' notice before terminating an active subscription.

Upon termination, your access to the Service will cease and your data will be handled as described in Section 7.

11. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Bhadraa Global Enterprises' total liability to you for any claim arising out of or relating to the Service — whether in contract, tort, or otherwise — shall not exceed:

• Monthly subscription: the subscription fee paid for the one calendar month immediately preceding the claim.
• Yearly subscription: one month's equivalent fee, calculated as the annual subscription fee paid divided by 12.

Bhadraa Global Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, or business interruption — even if advised of the possibility of such damages.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be subject to the exclusive jurisdiction of the competent courts in India.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify registered users via email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The current version will always be available at /terms.
